Primary responsibilities include, but are not limited to:
- Preparing, completing and managing securities filings with respect to: SEDAR+ (including Reports of Exempt Distribution on Form 45-106F1), SEDI, exemptive relief applications, TSX and TSX-V filings via TMX LINX and others as required
- Preparing and handling continuous disclosure filings in English and French
- Preparing and handling prospectus filings, including:
- Short form prospectus (NI 44-101)
- Shelf prospectus (NI 44-102), including WKSI
- Medium Term Note Offering Filings (pricing supplements and term sheets)
- Long form prospectus filings (NI 41-101)
- General marketing materials
- Calculating and arrangement for payment of filing fees
- Applying for CUSIP/ISIN numbers and associated eligibility requests
- Liaising with securities regulatory authorities for both corporate finance and investment fund issuers
- Issuing press releases with applicable newswire services
- Managing communications with Securities Lawyers and Assistants in Vancouver, Calgary and Toronto
- Law Clerk Diploma from a college or equivalent is required
- Minimum of two years of SEDAR+ filing experience is required
- Experience in preparing, completing and managing securities filings and related matters and electronic filings made through the following systems: SEDAR+, SEDI and TMX LINX, including in relation to those listed above
- Registering filings and National Registration Database filing experience would be an asset
- Ability to follow instructions with minimum supervision and be able to thrive in a fast-paced, team environment
- Must be willing and able to work flexible hours to accommodate SEDAR+ filing timelines
- Strong written and verbal communication skills
- Ability to organize and prioritize competing deadlines
The expected hiring range for the Securities Law Clerk position is $85,000 – $100,000. The following factors will be taken into consideration when assessing compensation: experience, education, job-related skills, and office location, among other factors.
